LICENCE RENTAL AGREEMENT
This
document describes an agreement between PROCON
CONSTRUCTION SYSTEMS
("PROCON")
and ...........................................................................
("USER")
for the provision of a Single/Multi-user licence for
...........................................................................

PROCON
will supply the program disk(s) and software manual(s), hotline telephone
support and copies of any updates to the program or manuals during the term
of the agreement. The USER
is granted a licence to use the materials during the term of the agreement.
Title to all material will remain with PROCON.

The
monthly rental is 8%
of the LICENCE COST payable monthly in advance.

The
MINIMUM rental period is three months and the first payment for this amount
is payable when the rental agreement is signed.

After
the minimum rental period, the agreement may be terminated by the USER
at any time by returning ALL program disk(s) and manual(s) to PROCON
by prepaid and receipted delivery. The material must be accompanied by
written confirmation from the USER
that all copies of the program have been destroyed and use of the materials
has ceased.

During
the first twelve months of the term of the rental, 50%
of rentals will be credited against the licence cost should the USER
choose to convert the rental to a purchase agreement. Conversion becomes
effective on payment of the outstanding balance of the licence fee. No
conversion credit applies to late payments.

Late
payments are subject to an agreed cumulative interest charge of 2%
per month. Additionally, if a payment is not received within 7
days of due date then PROCON
may terminate the agreement forthwith. The USER
will then immediately surrender all copies of the program(s) and manual(s),
pay rental until the time the material is returned and reimburse PROCON
for all costs incurred in collecting outstanding amounts owed.

terms and conditions of the standard single user licence shall also apply to
this agreement where they are not inconsistent with the above clauses,
